The Problem Waafir Solves
Sharing sensitive documents with outside parties is unavoidable when raising capital or running diligence, and it is where deals lose time and trust. Email attachments are uncontrolled the moment they are sent. Generic file-sharing tools provide a folder, not a deal room: no per-investor permissions, no record of who read what, and no way to redact a sensitive clause before an external party sees it. Meanwhile, the work of preparing a data room — organizing hundreds of files, summarizing them, and fielding investor questions — falls on a small team under time pressure.

The Secure Data Room and Document Viewer
Everything in Waafir lives inside a data room — the secure container scoped to a deal or investor group. Documents are protected by a proprietary, high-performance viewer for PDFs and images that prevents unauthorized copying, printing, or downloading of the underlying material. Where stricter control is required, digital rights management disables printing, downloading, and text copying entirely, keeping intellectual property inside the room.
Access is governed by granular file-level and folder-level permissions with inheritance, so a deal team can determine precisely who sees which documents. File versioning maintains a full multi-version history, and soft deletes provide a 30-day recovery window, making accidental deletion recoverable. For controlled external sharing outside the formal investor flow, you can generate password-protected share links with domain whitelisting and expiration dates.

Waafir uses retrieval-augmented generation over the contents of the data room to power two capabilities: an AI-assisted Q&A drafting tool that suggests responses to investor questions based on the room's contents, reducing response time for the deal team; and a RAG-powered chatbot that lets investors ask questions and receive answers grounded in the deal documents. Both are backed by semantic search powered by pgvector, so search operates on meaning and context rather than keyword matching alone.
Redact
The AI-powered redaction agent automatically identifies and redacts personally identifiable information and confidential content from documents, producing a clean version without manually scrubbing every page.
Readiness Scoring
Before you go live, the readiness score provides an AI-driven assessment of how complete and well-prepared the data room is, surfacing gaps so you can resolve them before investors arrive.

The Investor Experience
For investors, Waafir removes friction without weakening control. Investors gain access through frictionless magic-link onboarding — unique, time-limited secure links rather than another password to manage — backed by a secure guest token system that lets an investor move across the data rooms they can access within a single session. Where required, an integrated NDA workflow ensures the agreement is accepted before any sensitive document is reachable.
Once inside, investors land in a centralized portal dashboard listing every deal they can access, where they read documents and ask questions through the chatbot. For the deal team, every investor action feeds engagement analytics — view counts, time spent per document, and visit frequency — making it clear which prospects are genuinely engaged and which documents are receiving attention.
Administration and Analytics
On the team side, Waafir is invite-first: administrators send secure email invitations with role assignment, and new users either join via a secure join link or are detected automatically by email on the onboarding screen. A top-level Team page manages members, roles, and pending invites, with role-escalation prevention and last-owner protection built in. Real-time collaborative editing through the OnlyOffice integration lets multiple team members work on a document simultaneously with change tracking and comments.
Administrators have two analytics surfaces. A platform usage page reports DAU/WAU/MAU, activity heatmaps, the investor engagement funnel, AI pipeline load, a per-organization leaderboard, growth trends, and unit economics. A deal-team-facing engagement analytics page provides a per-data-room investor scoreboard, a document-interest heatmap of the most-viewed files, an activity timeline, and summary metrics, with drill-in to an individual investor. Investors never see analytics; this surface is for the deal team only. A comprehensive, immutable audit log records every file access, view duration, and modification for compliance. White-labeling carries your brand through investor-facing pages, and administrators can configure or disable specific AI features and the underlying models, manage notification preferences, and control the in-platform and email notification system that keeps every party informed of updates, questions, and status changes.
Security Posture
Security is the substrate, not a bolted-on feature. Files are encrypted at rest using AWS S3 with KMS envelope encryption (AES-256-GCM). Every document view carries dynamic watermarking that overlays user-specific information — email, timestamp, IP — in real time to deter and trace unauthorized sharing. Participant vetting is built in through an integrated KYC/KYB capability using Didit. Tenancy is isolated at the application level through org_id scoping enforced across queries, keeping organizations' data strictly separated. The platform runs on a native AWS architecture (App Runner, RDS, S3, SES) for availability and scale.
